End-User License Agreement (EULA)

This End-User License Agreement (the "Agreement") is entered into by and between the user ("User") and Quantem Technologies Pvt Ltd, a Mobile Device Management SaaS Software Company registered in the state of Tamilnadu, India, with its principal place of business at
Tyche Towers, Ground Floor,
#2 MGR Salai, Perungudi, Chennai 600096,
and the sole owner of Quantem.io (hereinafter referred to as "Company").

PLEASE READ THIS AGREEMENT CAREFULLY BEFORE USING THE COMPANY'S SOFTWARE. BY USING THE SOFTWARE, USER AGREES TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT. IF USER DOES NOT AGREE TO THESE TERMS AND CONDITIONS, USER MUST NOT USE THE SOFTWARE.

  1. License Grant
  2. Subject to the terms and conditions of this Agreement, Company hereby grants User a limited, non-exclusive, non-transferable license to use the Company's mobile device management software (the "Software") for the purpose of managing and securing mobile devices as described in the Software's documentation
  3. Restrictions
  4. User shall not, directly or indirectly:a) Copy, modify, distribute, sell, sublicense, or otherwise transfer or make available the Software to any third party, except as expressly permitted herein;
  5. b) Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, or algorithms of the Software;
  6. c) Use the Software for any unlawful purpose or in any manner that may infringe upon the intellectual property rights or violate the rights of others;
  7. d) Remove, alter, or obscure any proprietary notices or labels on the Software.
  8. Ownership
  9. User acknowledges and agrees that the Software, including any modifications, enhancements, or updates thereto, and all intellectual property rights therein, are and shall remain the exclusive property of Company. This Agreement does not convey any ownership rights or interests to User.
  10. Support and Maintenance
  11. Company may provide support and maintenance services for the Software as described in separate support agreements or policies. Such services may be subject to additional fees and terms.
  12. Disclaimer of Warranty
  13. THE SOFTWARE IS PROVIDED "AS IS" AND COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. COMPANY DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.
  14. Limitation of Liability
  15. IN NO EVENT SHALL COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF THE SOFTWARE, EVEN IF COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  16. Termination
  17. This Agreement shall remain in effect until terminated. Company may terminate this Agreement immediately if User breaches any of its terms. Upon termination, User must cease all use of the Software and destroy all copies in User's possession or control.
  18. Governing Law and Jurisdiction
  19. This Agreement shall be governed by and construed in accordance with the laws of the state of Delaware, United States, without regard to its conflict of laws principles. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the federal and state courts located in Delaware.
  20. Entire Agreement
  21. This Agreement constitutes the entire agreement between User and Company relating to the subject matter hereof and supersedes all prior or contemporaneous understandings, agreements, or representations, whether oral or written.

By using the Software, User acknowledges that they have read, understood, and agree to be bound by this End-User License Agreement.
